James G Bernier had worked as an engineer for Merrill Air Engineers, Maine, from 1988 to arch 1997 when he took a piece of work with Henry Molded harvests Inc., in Lancaster, Pa.

After he left Merrill, Bernier su Merrill for commissions he said were to be paid him and his ex-employer charged him with violating the non-disclosure agreement he had signed when he was hired. The agreement barred Bernier from divulging or using any information with revere to confidential or covert processes, plans, formulae, or material relating to the business activities of Merrill.
