In April 1983 Bert P Epperson the chairman of Temco Metals Inc.,
straited to buy steel from William R Hubbell carburet of iron Corp. Because Temco
did not have abundant cash and needed the carburet of iron quickly, Epperson agreed
to sign a personal guaranty, guaranteeing Temco's payment of the liability
Temco paid off its debit after it received the carbonized iron and so Hubbell
did not call upon Epperson's guaranty.

Temco then stopped doing business with Hubbell, because Epperson did
