Digital River backs off a bit on Beyond.com - Business

E-commerce enabler Digital River has "elect not to acquire" bankrupt Beyond.com's rule Systems Group. On January 25 Beyond filed for bankruptcy and announced that Digital River would pay $35 million in cash and $75 million in public stock for its e-stores and rule Systems Group businesses. The deal was make submissive to certain escrow and sale restrictions. Digital River said that "certain closing conditions related to the acquisition of the regulation Systems Group could not be met" There was no explanation of exactly what Digital River rest upon closer examination of the regulation business, but apparently the company did not like what it saw.

According to the fresh agreement, only Beyond.com's e-stores business will be acquired by the agency of Digital River. Digital will acquire "substantially all of the assets and customer contracts" related to Beyond.com's e-stores business in exchange for $401 million in Digital River for the use of all stock, subject to certain escrow and sale restrictions and certain resale registration rights.

The agreement also provides Beyond.com the opportunity for an earn-out of an additional $185 million in Digital River belonging to all stock, and provides for purchase price reductions in certain occurrences Further terms of the acquisition were not disclosed. The amended proffer remains subject to bankruptcy court approval, Digital said. Beyond.com was in put out of order as early as January of 2000 when it missing a CEO, abandoned retail software sales and refocused upon the B2B area.
